    Deputy General Counsel

    Description:

    Located in Hershey, PA, Milton Hershey School (MHS) is a home and school for over 2,000 students from disadvantaged backgrounds. Founded in 1909 and fully endowed, MHS has almost 12,000 graduates and is growing to serve more students. MHS is currently seeking a Deputy General Counsel (DGC) to act as the General Counsels key delegate on legal matters of high importance.

    The DGC is responsible for overseeing, planning, organizing, and directing legal staff, as well as coordinating outside counsel work as it pertains to all high-level legal matters. This includes matters pertaining to MHSs subsidiary, Catherine Hershey Schools for Early Learning (CHS), and MHSs Board of Manager related issues. The DGC reports to the General Counsel and supervises 1 person. The DGC also oversees other programs and investigations, and other duties as needed.

    The DGC has a wide scope of responsibilities including:

    • Procurement and Contracting - reviewing, drafting, and negotiating contracts. Providing an advisory role to procurement and other contracting decision-makers.

    • Regulatory Compliance Chairs the Enterprise Risk Management Committee, representing MHS in dealings with regulators, and advising program managers regarding compliance obligations such as ADA, OSHA, and HIPAA.

    • Strategic Initiatives provide strategic oversight to MHSs subsidiary, CHS, from a legal and operational perspective.

    • Litigation & Investigations - manage and direct outside counsel as it pertains to litigation and internal investigations.

    • General Legal Advisement advises and assists in matters related to real estate and governing documents of the School (Deed of Trust, bylaws, special committees, etc.).

    Qualifications:
    • J.D. degree and license to practice law in the Commonwealth of Pennsylvania required.

    • 7 plus years of experience as an attorney preferred. Experience as an in-house counsel desired.

    • Extensive expertise in litigation and investigations, contracting and procurement, and regulatory compliance.

    • Experience in real estate, corporate formation and governance, Department of Human Services Regulations, and enterprise risk management experience a plus.

    • Extraordinary skills in multi-tasking, organization, and managing multiple competing priorities.

    • Exceptional interpersonal skills including the ability to communicate complex information, lead, advise, collaborate, influence, and negotiate via written and verbal delivery.

    • Exceptional analytical skills and detail orientation. Innovative problem-solver.

    • Prior supervision experience a plus.

    • Comfortable using software including legal applications.
