Role: Assistant Controller
With Ambient rapid growth over the past year and additional growth over the next 12-18 months, the company is looking to upgrade and professionalize its accounting and compliance processes. This person will play a critical role on the Accounting Team, ensuring the corporate governance and compliance of the enterprise. With direct access to the CFO and Corporate Controller, they will look to this person to understand and interpret legal and financial agreements, as well as identify and implement procedures in accordance with GAAP and lender agreements. S/He will also be tasked with managing and overseeing external audits, making recommendations on policies, and ensuring the organization fulfills and reports obligations of compliance. Other key relationships include Assistant Corporate Controllers, Head of Financial Integration, operating entity accounting managers and the CFO. Role is based in the great New York / Tri-State area, with hybrid working arrangements will be considered.
KEY RESPONSBILITIES
- Understand and interpret credit agreement definitions, policies, and reporting standards.
- Compile and review quarterly compliance certificates.
- Ensure contracts align with creditor agreements and other commitments, confirming
adherence to compliance standards.
- Manage requests for vendor credit documentation and customer prequalification, ensuring
fulfillment of requirements.
- Handle corporate income tax compliance across federal, state, and local jurisdictions.
- Maintain accurate accounting records for equity interest agreements, earn-outs, and
capitalization tables.
- Understand and uphold the legal entity structure, ensuring proper documentation is maintained.
- Provide interpretation and assistance with compliance related to current and future FASB
Accounting Standards Pronouncements and Codifications.
- Oversee tax compliance and periodic filings through collaboration with the external tax advisors.
- Collaborate with Corporate Controller and Head of Financial Integration for seamless integration
and compliance of newly acquired entities.
- Drive risk management evaluations, follow up on external audit findings and coordinate.
- Monitor and analyze project costs, ensuring accuracy and compliance with accounting standards
in a percentage of completion environment.
- Apply expertise in ASC-606 revenue recognition standards for accurate project revenue reporting.
- Assess and address compliance needs, implementing financial policies and procedures.
- Ensure adherence to internal controls and regulatory requirements in a dynamic construction
environment.
- Utilize strong technical knowledge of Generally Accepted Accounting Principles (GAAP) in the
context of percentage of completion accounting.
- Coordinate and facilitate external audits ensuring all processes and procedures are in place.
- Manage aspects of corporate tax, staying abreast of relevant regulations and guidelines.
- Conduct thorough reviews of financial transactions and accounts, reconcile as needed and
address any discrepancies.
- Consolidate financial statements from the 14+ entities under Ambients umbrella.
PROFESSIONAL EXPERIENCE/QUALIFICATIONS:
Controllership/Technical Accounting Expertise:
Thorough knowledge of US GAAP standards with strong technical knowledge in ASC-606 revenue recognition standards.
Has managed the audit process and tax preparation in coordination with external auditors, while building and maintaining relationships with them in a nationally recognized public accounting firm, ideally with a Big 4 firm.
Experience with implementing accounting systems and putting processes and procedures in place.
Business Acumen & Impact:
Can share concrete examples of process improvements they have driven in previous roles to improve efficiencies in accounting, especially around external audits.
Proven experience with interpreting and assisting with compliance related to current and future FASB Accounting Standards Pronouncements and Codifications.
Ideally, experience with seamless integration and compliance of newly acquired entities.
Leadership Approach:
Proven experience with working collaboratively within the organization to achieve objectives and
proactively communicating with other executives.
History of regular communication providing audit results and able to provide solutions to any
compliance needs, implementing policies and procedures.
Technology:
Experience with the integration of ERP and financial planning tools, ideally Microsoft Dynamics
Certification:
- Certified Public Accountant (CPA)-Mandatory
