Overview
As Corporate Counsel, you will play a crucial role in ensuring the protection of Gallagher Global Brokerage (“GGB”), focusing primarily on the US business segment. You will be responsible for reviewing, negotiating and providing related legal counsel for contracts and other commercial matters.
You will collaborate with business, legal and compliance colleagues to ensure the delivery of Gallagher's commercial legal strategy within the established risk appetite. This involves adhering to company and regulatory requirements while meeting obligations specific to various customer, regulator, colleagues and stakeholders.
You will provide advice and support to the business to identify, articulate and guide them in the implementation and management of their legal risks in support of their business strategies.
How you'll make an impact
- Provide day-to-day legal and business advice to select business units within GGB-US. Such day-to-day advice includes collaborating with senior leadership to develop or implement corporate strategies, policies and standards, address issues such as risk mitigation, and relationship management.
- Review, draft, negotiate and interpret a variety of agreements, including agreements with clients, insurance carriers, vendors and other agreements arising out of GGB-US’ operations.
- Ensure that all agreements accurately reflect GGB-US’ business objectives and comply with all laws and regulatory requirements.
- Work closely with GGB-US management, other GGB-US legal representatives supporting the contract function, and the Gallagher corporate legal department on strategic initiatives affecting contracts and commercial issues.
- Provide ongoing and proactive strategic advice regarding contractual and business risks and counsel on contract interpretation and potential dispute issues.
- Assist in the development and maintenance of contract templates, playbooks and best practices.
- Provide advice and counsel on a variety of other legal matters that may arise out of GGB-US’ operations, including intellectual property, bankruptcy and privacy.
- Develop innovative approaches to legal issues in support of strategic business initiatives and objectives. Work with Gallagher legal representatives in analyzing the potential for contract automation and hybrid support structures. Recommend and implement enhancements and improvements to the system on an ongoing basis as appropriate.
- Provide administrative support as needed to maintain or establish legal processes
- Experience and expertise in negotiating both buy-side and sell-side products and services agreements.
- Ability to identify, articulate, guide and assist stakeholders in the management of their contract risks and obligations to desired outcomes through stakeholder engagement.
- Experience in working closely with legal, compliance, information security, human resources, marketing and operations personnel in connection with specific contract negotiating matters.
- Ability to understand when to escalate complicated matters to senior management.
- Accomplished communicator with the ability and confidence to present issues and influence decisions at all levels within an organization with excellent analytical, interpersonal and stakeholder management skills.
- Detailed; problem solver; outcome focused; multi-tasker; and collaborative team player.
- Ability to organize and prioritize a large workload and effectively manage your time.
- JD from an accredited law school.
- Bar membership in good standing.
