Compensation and Benefits

The final agreed upon compensation is based on individual qualifications and experience ranging from $110,000 - $160,000 yearly salary, plus bonus.

Typical Work Schedule

Dayshift, Monday through Friday, 8:00am-4:30pm.

We are currently seeking an individual to join our hard-working, dedicated team as General Counsel.


Hayden Power Group is an electrical construction contractor with a national presence focusing upon industrial, commercial, and residential projects. As the sole attorney for the company, you will be responsible for risk management and providing legal guidance on all matters affecting the business. Primary duties include, but are not limited to, the following:


• Learn the company's structure, services, business focus, operations, and goals.

• Lead, develop, and align legal services to support, develop, and scale the business.

• Research and provide guidance regarding applicable federal, state, and local laws and regulations pertaining to: electrical construction products, projects, and services; OSHA compliance; employment matters, including recruitment, offers, compensation, benefits, discipline, evaluations, and terminations; safety; and other company matters.

• Assist with monitoring changes or updates in the law affecting the company, and implement required changes to ensure compliance.

• Create and update standardized and customized templates, forms, and contracts, including MSAs, SOWs, T&Cs, subcontracts, vendor, external agency, employment, etc.

• Proactively identify risks, position the company to avoid risks, and in the event of a risk event, work to legally mitigate, transfer, or eliminate the risk.

• Counsel, file, defend and/or prosecute contract claims, disputes, mechanics liens, prompt payment act violations, breach of contract actions, workers compensation claims, and any other litigation matters.

• Manage and direct outside counsel regarding strategy related to litigation, claims, arbitration, mediation, and/or enforcement actions, while also regulating legal spend.

• Provide legal guidance and conduct legal due diligence for M&A transactions.

• Provide legal support to Human Resources, Safety, Finance, Estimating, Senior Managers, Owners, and Executive Team, and work with various departments to address legal requirements for documents, policies, procedures, claims, and enforcement.

• Review, redline, and negotiate contracts and agreements with vendors, project owners, contractors, subcontractors, temp agencies, etc.

• Provide guidance regarding corporate governance and participate as a member of the Executive Team.

• Conduct or legally assist with internal investigations, including those related to workplace injuries, alleged OSHA violations, allegations of discrimination, discipline, and/or terminations.

• Render legal advice, guidance, and representation relating to the company's captive insurance participation, other insurance policies/coverages, and claims.

• Provide legal guidance and advice, and draft or update documents regarding the company's Apprenticeship and Fleet programs.

• Periodically update the Employee Handbook consistent with existing laws, regulations, requirements, and company policies.

• Assist with maintenance and updates of drug and alcohol policies, procedures, and investigations, as a company with safety-sensitive positions.

• Counsel and represent company on real estate purchases, sales, development, easements, leases, and disputes.

• Provide counsel for and assist in implementing cybersecurity and data protection best practices.

• Provide counsel regarding government contracts and prime contract compliance issues.

• Review and advise company regarding financing, credit, and loan documents.

• Act as a legal resource regarding safety issues, employment law issues, union matters, and employee benefit issues.

• Collaborate with management in the development and enforcement of company policies, procedures, and best practices.

• Work with project teams to resolve contractual disputes and manage contract performance and payment issues.

• Represent the company in preventing, negotiating, handling, and settling lawsuits, charges, enforcement actions, and claims.

Requirements:

Required Skills:

• Strong legal research and writing skills.

• Excellent communication skills.

• Ability to appropriately prioritize work.

• Litigation experience.

• Ability to work in a fast-paced environment with ever-changing priorities and varied legal issues.

• Attention to detail and ability to read, analyze, interpret, and explain complex legal documents and topics to non-attorneys.

• Familiarity with EMR.


Required Experience:

• JD from an accredited law school.

• Licensed to practice law in Pennsylvania, or ability to secure limited in-house corporate counsel license, or be admitted to the Pennsylvania Bar.

• Minimum of 5 years' experience as in-house corporate counsel and 5-10 years as a practicing attorney.


Preferred Experience:

• Knowledge of the construction industry.

• Ability to draft, review, and redline complex contractual documents.

• Experience with government contracts.

• Extensive understanding of employment law.

• Familiarity with AIA documents.

• Prior involvement with temp agency labor contracts.


Special Requirements:

• Must have a current, valid Driver's License, a satisfactory driving record and reliable transportation.

• Ability to travel local, in-state, and out-of-state as needed.

• Undergo and pass required background checks, drug/alcohol screenings (pre-employment, random, post-accident, and return to work) and physicals.

• Conform to all company policies and procedures.
