They are seeking a Corporate Paralegal to join their legal team. This role offers exposure to a wide range of corporate governance compliance and transactional matters within a dynamic and collaborative environment.


Position Overview
The Corporate Paralegal will support the legal department across corporate governance entity management SEC reporting and M&A activity. This individual will play a key role in maintaining corporate records supporting board level activities and assisting with strategic transactions.

Key Responsibilities:

Corporate Governance and Entity Management
  • Maintain domestic and international subsidiary records including formation documents bylaws operating agreements and organizational charts
  • Manage annual filings qualifications withdrawals and other corporate compliance requirements
  • Prepare board and shareholder materials including resolutions written consents and meeting documentation
  • Support corporate secretary functions including maintaining minute books and records

Compliance and Reporting

  • Assist in the preparation drafting and review of SEC filings including 10 K 10 Q and 8 K
  • Coordinate cross functional inputs for quarterly and annual reporting processes
  • Support proxy statement preparation including questionnaires and data tracking
  • Assist with Section 16 reporting including Forms 3 4 and 5
  • Help manage internal compliance initiatives policies and training schedules

Transactional Support

  • Assist with mergers acquisitions and other strategic transactions
  • Support due diligence efforts including data room organization and document tracking
  • Prepare signature packets and manage closing documentation and checklists
  • Assist with post-closing integration and document management

General Legal Support

  • Provide administrative and project support to the legal team
  • Serve as a point of contact for internal stakeholders
  • Support notarization of company documents as needed

Qualifications
Required

  • Bachelor’s degree or equivalent experience
  • 4 to 6 years of corporate paralegal experience
  • At least 2 years supporting public company governance or SEC filings
  • Strong understanding of corporate governance compliance and transactional processes
  • Highly organized with strong attention to detail
  • Ability to manage multiple priorities in a fast-paced environment
  • Proficiency in Microsoft Office

Preferred

  • Paralegal certification
  • Notary certification
  • Experience with proxy statements and Section 16 reporting

Base Salary Range:

  • $93,600.00 - $140,400.00, offered in good faith and based on experience, location, and qualifications.
