DescriptionSenior Legal Counsel - Corporate Strategic Transactions and Alternative CapitalNew York City, NY, Hartford, CT or Stamford, CT, Paris, France or London, UKIn your role, you will collaborate closely with AXA XL’s attorneys, corporate development team, alternative capital team, finance, treasury and investment functions to support AXA XL with a variety of transactions, including insurance linked securities, credit facilities, strategic investments, dispositions and acquisitions, as well as assisting with general corporate legal matters including commercial contracts and corporate governance. We are looking for a lawyer with strong transactional experience, preferably M&A, structured finance or capital markets, and a demonstrated ability to achieve results. The candidate must demonstrate ingenuity, a strong work ethic, commercial judgement and critical thinking in order to consider the wider implications as they relate to legal and regulatory aspects of transactions.  You will report to Head of Legal, Corporate and Strategic Transactions and you will be based in one of our United States offices (New York, Stamford, Hartford) or our London or Paris offices.What will your essential responsibilities include? •    Collaborate with AXA XL’s business and operations stakeholders and legal colleagues to support and provide legal advice to AXA XL’s corporate development, alternative capital, finance, treasury and investment teams•    Negotiate, interpret, draft and review a variety of transactional agreements, including subscription agreements, disclosure and offering documents, credit facilities, letters of intent, term sheets, joint venture agreements, acquisition and disposition agreements, non-disclosure agreements and service agreements•    Lead complex and fast paced transactional matters, including legal due diligence •    Maintain and update contract templates•    Work on ad-hoc legal projects•    Instruct and manage relationships with outside counsel•    Stay current on key transactional legal developmentsQualificationsWe are looking for someone who has these abilities and skills:•    Qualified lawyer with advanced experience as a transactional lawyer at a top law firm and/or a company engaged ideally in the insurance/reinsurance sector •    Takes initiative, thinks creatively and critically, exercises good judgment, with a passion for continuous improvement •    Excellent research, verbal and written communication, collaboration, negotiation, and presentation skills•    Articulates and identifies issues to solve both complex and uncomplicated problems•    Agility and adaptability, with the ability to prioritize and manage concurrent matters with shifting priorities in an international environment•    Works tenaciously to achieve results, sets high standards for self and others, and acts with a sense of urgency•    Excellent interpersonal and organizational skills, with the ability to work independently as part of an interdisciplinary team and the ability to interact effectively at all levels of the organization•    Adapts to a fluid work environment with shifting needs and priorities•    Must be able to articulate and identify issues and to solve both complex and uncomplicated problems•    Must have team-oriented approach, and strong ability to think outside of the box and to suggest changes and new ideas that affect excellence.FIND your future AXA XL, the P&C and specialty risk division of AXA, is known for solving complex risks.
